Below is the current member agreement in an easy to read and understand format. If you have any questions about it please let us know. This agreement is subject to change and if it does you will have the opportunity to cancel your membership without penalty.
Section A
Introduction
By submitting this Agreement, the Member (you, are) is joining SportsLife and you agree to the terms of this document/Member Agreement. SportsLife will supply a Supplier Directory. Features, resources and other items may be added or removed at any time by SportsLife.
Section B
Fees
All payments from Member are non-refundable. The monthly dues range depending on what membership plan you choose. Monthly dues are billed 30 days from the date of your signup. Membership prices and plans change from time to time and without notice. HOWEVER, if Member joined at a ‘locked in rate’ then SportsLife will honor that level ongoing. If that ‘locked in rate’ has an length of term, then at the end of that term the monthly fees will increase as spelled out in the agreement at the time the member joined SportsLife. The member may choose to cancel their membership at anytime spelled out in the agreement signed at the time of joining SportsLife.
Section C
Term of Agreement and Cancellation
Your initial signup cost to SportsLife to become a dealer is NON-REFUNDABLE. The term of this Agreement month to month and can be cancelled at any time after signing up. 30 days after signup, a monthly membership fee will be charged to the credit card that was saved when becoming a member. To cancel your account, please email admin@sportslifemembers.com or call 760-261-4108.
Section D
Member Obligations
The Member will pay dues monthly based on the date of their signup as long as they remain a Member of SportsLife. Member will operate separately of SportsLife Enterprises, Inc. and shall not use the name or logo in any way with their own business other than specified in Section E. The Member will investigate and comply with all local, state and federal laws. The Member will consult with a licensed professional on business structure and set up options to be sure they have the best business structure for tax, liability, administration and other purposes. The Member will get all necessary insurance and business licenses. The Member will work with SportsLife Enterprises and its suppliers and manufacturers in a professional business manner and obey any suppliers selling policies or restrictions. Member agrees that SportsLife is not responsible for any action or inaction by any supplier. Also SportsLife is not responsible for pricing, shipping, stocking, customer services including quotes and timelines or any other policy set by any supplier. If you choose the Professional Membership you understand there is a separate agreement that needs to be executed pertaining to the access of trademarked apparel and accessories. This agreement outlines any selling restrictions, you must be a Professional Member in good standing, product pricing (subject to change at any time), and other policies to ensure the quality of the brand is upheld.
Section E
SportsLife Trademarks
While this Agreement is in force, Member can use SportsLife’s trademarks in stating that they are part of the SportsLife Member Network on their website, letterhead or other means in which to identify their membership in SportsLife. Only the Professional Membership is fully authorized to purchase trademarked apparel and accessories from SportsLife or an authorized re-seller. The Member is not authorized to print, or copy any SportsLife trademark or otherwise create a confusingly similar logo or printed apparel or accessories using SportsLife trademarks.
Section F
Non-Disclosure /
Non-Compete
Member or any employee, agent or representative of Member will not at any time, or in any manner, either directly or indirectly, use for the personal benefit of Member or divulge, disclose or communicate in any manner any information that is proprietary to SportsLife. Confidential information includes but is not limited to, supplier information, Member Manual, and information obtained within the Members Only Web Site. Member shall protect such information and treat it as strictly confidential. The obligation of Member not to disclose proprietary information shall continue for five years after termination of its business relationship with SportsLife. Member agrees not to record or store information which is posted or shown in the SportsLife web sites. This information includes but is not limited to email address, phone numbers or other personal contact information. For the duration of your SportsLife Membership and for a period of five years from the date of any termination, Member shall not directly or indirectly, engage or start, in any manner, a business that will compete directly or indirectly with SportsLife Enterprises, Inc.
Section G
Website
Only the Business Pro and Executive Memberships will have access to the SportsLife E-Commerce Website. Sportslife will host all websites on a dedicated server. All support will be provided by SportsLife. You may or may not recieve products in your website when you receive it, depending on your membership level purchase. Any domain name can be used. Cancelling your SportsLife Membership will also cancel your website.
Section H
General Provisions
The Member understands and acknowledges that neither SportsLife nor any of its employees or representatives has made any claims or representations whatsoever regarding potential revenues, earnings or profits that a Member may achieve as the owner of a SportsLife Membership. In addition, Member and SportsLife hereby agree that this written agreement encompasses the full and complete understanding of the parties, and no other representation, promises, oral or written, have been made or relied upon. SportsLife does not offer any legal or financial advice. No waiver or modification of this contract shall be effective unless made in writing. This agreement shall be governed by the laws of the State of Virginia and any action brought pursuant to this agreement shall be brought in the Courts of Prince William County, Virginia. Member hereby consents to the jurisdiction of the Courts of Prince William County, Virginia and waives any lack of personal jurisdiction over it.
SportsLife does not rent or sell any Member information to anyone for any reason. Member acknowledges that SportsLife may supply their information to some of our suppliers in order to help the supplier set up the Member’s account.
The Member can request the supplier to completely remove their information as well as request that SportsLife not share any information with any supplier.
Neither party will be liable for any failure or delay in performance under this Member Agreement due to any cause beyond reasonable control, including, but not limited to an act of war, terrorism or acts of God, riot, failure of suppliers or subcontractors, sabotage, flood, earthquake or other natural disasters, or failure of the Internet, embargo, or government act.
There are no implied or expressed warranties on the materials in this site; the materials and information provided herein are provided to readers and Members “as is.” SportsLife disclaims any warranty of any kind, whether express or implied, as to any matter whatsoever relating to this service. The company does not provide any representations or warranties as to the products or services of any users or Members, and each Member engaging in business with other Members and Suppliers should exercise his or her own independent judgment and/or review before doing so. Additionally, the company does not warrant that the functions contained in the materials will be uninterrupted or error-free. The company will seek to correct any problems contained within the site as soon as any are discovered.
I will not re-disseminate or give third party access to the information I am given from SportsLife or from the SportsLife web sites.
