Dealer Agreement Ver.01.07.WS Section A Introduction By submitting this Agreement, the Dealer is joining SportsLife and the Dealer agrees to the terms of this document/Dealer Agreement. SportsLife will supply a Dealer in good standing with the following materials: a detailed Dealer Manual, a Dealer number which will identify you as a Dealer, access to an 800 toll free line for consultations, monthly newsletters, a Supplier Directory, and access to the Dealers Only website offering resources such as online versions of the Dealer Manual, Supplier Directory, and current news alerts. Features, resources and other items may be added or removed at anytime by SportsLife. Dealer kit will be shipped to the address provided within one business day after funds have been received. Features, resources and other items may be added or removed at anytime by SportsLife. Section B Fees This Agreement shall become effective when Dealer signs / submits this Agreement. The Start Up Fee for a new SportsLife Dealership is \$495. If any discounts of the Start Up fee, the proper discount code must be entered into the "Rep Code" field on the Dealer Agreement. The monthly dues are \$29.95. If monthly dues are paid after the 15th day of the month, Dealer may be subject to a late fee of \$10. Section C Term of Agreement and Cancellation The term of this Agreement is for one year from the date of signing this Agreement. The Agreement shall continue to renew itself on a month-to-month basis thereafter. After the one-year commitment, the Dealer can cancel the Dealership at any time by providing a 30-day written notice with the SportsLife Cancellation Request Form. Section D Dealer Obligations The Dealer will pay dues monthly by the 15th day of every month for as long as they remain a Dealer of SportsLife. Dealer will operate separately of SportsLife Enterprises, Inc. and shall not use the name or logo in any way with their own business other than specified in Section E. The Dealer will investigate and comply with all local, state and federal laws. The Dealer will consult with a licensed professional on business structure and set up options to be sure they have the best business structure for tax, liability, administration and other purposes. The Dealer will get all necessary insurance and business licenses. The Dealer will work with SportsLife Enterprises and its suppliers and manufacturers in a professional business manner and obey any suppliers selling policies or restrictions. Dealer agrees that SportsLife is not responsible for any action or inaction by any supplier. Also SportsLife is not responsible for pricing, shipping, stocking, customer services including quotes and timelines or any other policy set by any supplier. Section E SportsLife Enterprises, Inc. Trademarks While this Agreement is in force, Dealer can use SportsLife's trademarks in stating that they are part of the SportsLife Dealer Network. Section F Non-Disclosure / Non-Compete Dealer or any employee, agent or representative of Dealer will not at any time, or in any manner, either directly or indirectly, use for the personal benefit of Dealer or divulge, disclose or communicate in any manner any information that is proprietary to SportsLife. Confidential information includes but is not limited to, supplier information, Dealer Manual, and information obtained within the Dealers Only Web Site. Dealer shall protect such information and treat it as strictly confidential. The obligation of Dealer not to disclose proprietary information shall continue for five years after termination of its business relationship with SportsLife. Dealer agrees not to record or store information which is posted or shown in the SportsLife web sites. This information includes but is not limited to email address, phone numbers or other personal contact information. For the duration of your SportsLife Dealership and for a period of five years from the date of any termination, Dealer shall not directly or indirectly, engage or start, in any manner, a business that will compete directly or indirectly with SportsLife Enterprises, Inc. Section G Web Site The Dealer understands and acknowledges that the free web site they receive when joining SportsLife is the sole responsibility of 1eWebstore, Inc. The site is hosted without cost by 1eWebstore, Inc., and all technical support is provided solely by 1eWebstore, Inc. SportsLife is in no way responsible or liable for any aspect of the web site, site support, site uptime, or any other facet related to the web site. Section H General Provisions The Dealer understands and acknowledges that neither SportsLife nor any of its employees or representatives has made any claims or representations whatsoever regarding potential revenues, earnings or profits that a Dealer may achieve as the owner of a SportsLife Dealership. In addition, Dealer and SportsLife hereby agree that this written agreement encompasses the full and complete understanding of the parties, and no other representation, promises, oral or written, have been made or relied upon. SportsLife does not offer any legal or financial advice. No waiver or modification of this contract shall be effective unless made in writing. This agreement shall be governed by the laws of the State of Virginia and any action brought pursuant to this agreement shall be brought in the Courts of Prince William County, Virginia. Dealer hereby consents to the jurisdiction of the Courts of Prince William County, Virginia and waives any lack of personal jurisdiction over it. SportsLife does not rent or sell any dealer information to anyone for any reason. Dealer acknowledges that SportsLife may supply their information to some of our suppliers in order to help the supplier set up the dealer’s account. The dealer can request the supplier to completely remove their information as well as request that SportsLife not share any information with any supplier. Neither party will be liable for any failure or delay in performance under this Dealer Agreement due to any cause beyond reasonable control, including, but not limited to an act of war, terrorism or acts of God, riot, failure of suppliers or subcontractors, sabotage, flood, earthquake or other natural disasters, or failure of the Internet, embargo, or government act. There are no implied or expressed warranties on the materials in this site; the materials and information provided herein are provided to readers and Dealers “as is.” SportsLife disclaims any warranty of any kind, whether express or implied, as to any matter whatsoever relating to this service. The company does not provide any representations or warranties as to the products or services of any users or Dealers, and each Dealer engaging in business with other Dealers and Suppliers should exercise his or her own independent judgment and/or review before doing so. Additionally, the company does not warrant that the functions contained in the materials will be uninterrupted or error-free. The company will seek to correct any problems contained within the site as soon as any are discovered. I will not re-disseminate or give third party access to the information I am given from SportsLife or from the SportsLife web sites. By signing / submitting this form, the Dealer agrees to the terms of this document / Dealer Agreement.
